These Terms of Service ("Terms") govern your use of this website (the "Site"), operated by Icon Mode LLC ("Icon Mode LLC," "we," "us," or "our"), and your purchase of the Smart Inventory Planner or any consulting or interpretation services we offer. By using the Site or purchasing a product or service from us, you agree to these Terms.

1. Who we are and what we offer

Icon Mode LLC offers:

• The Smart Inventory Planner, a downloadable Excel-based inventory planning tool ("the Tool"), licensed to you under the separate End User License Agreement, which is incorporated into these Terms by reference;
• Consulting and interpretation services, including business interpretation, supplier negotiation support, and supply chain consulting ("the Services"), arranged individually by email inquiry.

2. Purchases and payment

Payments for the Tool are processed by a third-party payment processor (Stripe and/or Gumroad). By purchasing, you agree to that processor's terms in addition to ours. All prices are listed in US dollars. The Tool is sold as a one-time purchase; it is not a subscription.

3. Refund policy

All sales are final. Due to the digital nature of the Tool, we do not offer refunds once it has been delivered.

4. Consulting and interpretation services

Services are arranged individually and may be subject to a separate written agreement or scope of work. Nothing on this Site or in any Service constitutes legal, financial, investment, customs, or import/export advice. You are responsible for independently verifying any information, translation, or recommendation provided and for your own business, legal, and financial decisions. We are not liable for outcomes of supplier negotiations, business decisions, or interpreted communications, except as expressly agreed in a separate written scope of work.

5. Intellectual property

All content on this Site — including text, design, graphics, and the Smart Inventory Planner itself — is owned by Icon Mode LLC and protected by copyright and other intellectual property laws. Your purchase of the Tool grants you a license to use it as described in the End User License Agreement; it does not transfer ownership of the Tool or any intellectual property rights to you.

6. Accuracy of information

We aim to describe our products, services, and credentials accurately. The Tool is a planning aid based on the inputs you provide; it does not guarantee any particular business outcome, and results depend on the accuracy of your own data and your business decisions.

7. Disclaimer of warranties

The Site, the Tool, and the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, Icon Mode LLC's total liability for any claim arising from your use of the Site, the Tool, or the Services is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data, even if we were advised of the possibility of such damages.

9. Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles, regardless of where you access the Site from.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Site or purchase of a product or service after changes are posted constitutes acceptance of the updated Terms.
