End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Icon Mode LLC ("Licensor," "we," "us," or "our") for the Smart Inventory Planner Excel worksheet and any related setup video (collectively, "the Tool"). By purchasing, downloading, or using the Tool, you agree to be bound by this EULA. If you do not agree, do not purchase or use the Tool.

1. Ownership

The Tool is licensed, not sold. Icon Mode LLC retains all right, title, and interest in and to the Tool, including all copyright and other intellectual property rights. This EULA gives you certain rights to use the Tool; it does not transfer ownership of the Tool to you.

2. License grant

Subject to your compliance with this EULA and payment of the applicable purchase price, Icon Mode LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Download and use one copy of the Tool for your own internal business purposes;
• Make copies of the Tool solely for your own backup or internal use across the business you purchased it for.

3. Restrictions

You may not, and may not permit others to:

• Resell, rent, lease, sublicense, distribute, or share the Tool or any copy of it with any third party, whether for payment or free of charge;
• Upload the Tool to any public repository, marketplace, template site, or file-sharing service;
• Remove, obscure, or alter any copyright notice, watermark, or attribution contained in the Tool;
• Use the Tool to create a competing product or service offered to others;
• Reverse engineer the Tool for the purpose of building a substantially similar product for resale or redistribution.

This license covers use by the single business or individual that purchased the Tool. A separate license/purchase is required for use by a different, unrelated business.

4. No warranty

The Tool is provided "as is," without warranty of any kind, express or implied. Icon Mode LLC does not guarantee that the Tool will be error-free, that it is suitable for your specific business, or that using it will produce any particular business outcome. The Tool is a planning aid; the accuracy of its output depends on the accuracy of the data you enter.

5. Limitation of liability

To the fullest extent permitted by law, Icon Mode LLC's total liability arising from your use of the Tool is limited to the amount you paid for it. We are not liable for any indirect, incidental, or consequential damages, including lost profits, lost inventory value, or business interruption, arising from your use of or inability to use the Tool.

6. Refunds

All sales are final, as described in our Terms of Service.

7. Termination

This license terminates automatically if you breach any provision of this EULA, including the restrictions in Section 3. Upon termination, you must delete all copies of the Tool in your possession.

8. Governing law

This EULA is governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.
